Business Entity: Soul Edit Co, LLC, an Arizona limited liability company (“Coach,” “we,” “us,” or “our”)
Client: The purchaser or participant (“Client,” “you,” or “your”)

1. Website Use and Consent

By accessing or using our Website, online platforms, or related Content, you represent that you are at least 18 years of age and agree to comply with these Terms & Conditions. Any registration, purchase, or participation by anyone under 18 is unauthorized and violates these Terms.

2. Acceptance of Terms

By purchasing, enrolling in, or participating in any of our programs, courses, masterclasses, or coaching services (collectively, “Offerings”), you acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions (“Agreement”). If you do not agree, you must not access or use our Offerings.

3. Refund Policy

Your satisfaction matters to us. However, due to the extensive time, effort, and care involved in creating and delivering our Offerings, all sales are final once access is granted.

Refund Exception: We want you to have the opportunity to experience our teaching style and community. If, after enrolling, you feel that our content is not a good fit for you, you may request a refund within 48 hours of purchase by emailing [email protected]. If your request is received within 48 hours of purchase, we will process your refund promptly. After 48 hours from the date of purchase, no refunds will be issued for any reason.

4. Termination of Access

You may cancel your participation in any Offering at any time by emailing [email protected]. We reserve the right to suspend or terminate access to any Offering at our discretion, including for nonpayment, misconduct, or violation of these Terms, with notice sent to the email address you provided. Upon termination, all outstanding balances become immediately due and payable, access to all course materials, groups, and resources will cease, and the sections of this Agreement regarding confidentiality, disclaimers, limitation of liability, intellectual property, and dispute resolution will survive termination.

5. Confidentiality

We treat your personal information and coaching discussions as confidential and will not disclose them without your written consent, except as required by law. You understand that coaching is not legally privileged, and the Coach may be compelled by a court to disclose information. The Coach will provide notice before disclosure whenever legally permissible. Confidential information does not include information that is publicly available, already known to us, received lawfully from another source, or independently developed without reference to your information.

6. Media Release

By participating in our Offerings, you consent to the use of your image, likeness, or voice in photos, videos, or recordings for internal training or marketing purposes. You may withdraw consent at any time by emailing [email protected]. Withdrawal applies prospectively and does not affect materials created prior to the date of withdrawal.

7. Communication Policy (Including Voxer Access)

We value open and timely communication with our clients. For Offerings that include Voxer access or similar messaging support, please note the following:

Voxer messages will be answered Monday through Friday, between the hours of 9:00 a.m. and 5:00 p.m. (Arizona Time).

Messages received outside of these hours, on weekends, or holidays will be addressed during the next available business day.

We aim to respond to all Voxer messages within 24 hours during regular business days.

By participating in an Offering that includes Voxer or similar communication, you acknowledge and agree to these guidelines and response times.

8. User Contributions and Testimonials

By submitting, posting, or sharing any testimonials, comments, photos, images, or videos on or through our Website, social media pages, or in any of our Offerings, you grant Soul Edit Co, LLC a perpetual, royalty-free, worldwide license to use such materials for marketing, educational, or promotional purposes. You affirm that you own all rights to such materials and that their use will not infringe upon any third party’s rights.

9. Breathwork Participation and Release

Participation in breathwork sessions or related activities offered by Soul Edit Co, LLC is voluntary and may involve emotional, mental, or physical exertion. You understand that breathwork is not a substitute for medical or mental health care and you agree to consult a qualified healthcare provider before participating. By participating, you voluntarily assume all risks and release Soul Edit Co, LLC and its facilitators from liability for any injury or damages, except in cases of gross negligence or willful misconduct. Facilitators may be independent contractors. Soul Edit Co, LLC is responsible only for their reasonable selection and supervision. Internal recordings made for training purposes will not be shared externally without written consent.

10. Medical and Mental Health Disclaimer

Our Offerings are intended for informational and educational purposes only. They are not a substitute for professional medical, psychological, or nutritional advice, diagnosis, or treatment. Always consult a licensed healthcare professional regarding any health concerns. You are solely responsible for your decisions, actions, and outcomes.

12. Coaching Disclaimer

Coaching is distinct from counseling or psychotherapy and does not include diagnosis or treatment of mental health conditions. Your success depends on your own commitment, application, and effort.

13. Earnings Disclaimer

We do not make any representations or guarantees regarding potential income, results, or success that may arise from participating in our Offerings or using our materials. You acknowledge that individual results vary and that your own efforts, circumstances, and background influence your outcomes.

14. Personal Responsibility and Assumption of Risk

You agree to use your own judgment when applying information received through our Offerings, Website, or Content. You assume full responsibility for your choices, actions, and results, and you agree that Soul Edit Co, LLC is not liable for your decisions, actions, or outcomes under any circumstances.

15. Intellectual Property

All content provided through our Offerings—including but not limited to course materials, videos, worksheets, audio recordings, coaching frameworks, templates, images, branding, designs, and written materials—is the intellectual property of Soul Edit Co, LLC and is protected by copyright, trademark, and other applicable laws. You are granted a limited, non-transferable, non-exclusive, revocable license for personal use only. You may not copy, share, reproduce, republish, distribute, display, sell, or otherwise exploit any materials for commercial or non-personal use; claim ownership or authorship of any Soul Edit Co content; or remove any copyright, trademark, or proprietary notices. Any unauthorized use of our intellectual property is strictly prohibited and may result in legal action, termination of access, and damages under applicable law. Permission must be obtained in writing for any use beyond personal access.

16. User Conduct

You agree to use our Website and Offerings for lawful purposes only. You will not post or transmit any content that is illegal, offensive, defamatory, or infringes on another’s rights, or engage in conduct that interferes with or disrupts our Website, programs, or other users’ experiences.

17. Online Commerce

When purchasing through our Website or online platforms, you agree to provide current, complete, and accurate information. Payments are processed through secure third-party providers, and you agree to abide by their terms and privacy policies. We are not responsible for errors, delays, or issues caused by third-party payment processors.

In any case, our total liability shall not exceed the total amount paid by you for the specific Offering that gave rise to the claim.

21. Governing Law and Dispute Resolution

This Agreement is governed by and construed in accordance with the laws of the State of Arizona, without regard to conflict of law principles. Any dispute arising under or relating to this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, conducted virtually or in Prescott, Arizona, unless otherwise mutually agreed. Each party shall bear its own costs and attorney’s fees unless otherwise required by law.

22. Entire Agreement

This Agreement constitutes the entire understanding between you and Soul Edit Co, LLC regarding your participation in our Offerings. It supersedes all prior communications or agreements, whether written or oral. Any amendment must be in writing and signed by both parties. The provisions concerning confidentiality, disclaimers, limitation of liability, refund policy, intellectual property, and dispute resolution shall survive termination of this Agreement.
